Starting a Business Isn’t One-Size-Fits-All

This guide breaks down the business formation documents you need in each of the three states Cash Flow Consulting serves: California, Nevada, and Utah.
California: Extra Paperwork, Extra Taxes
California is known for high compliance but strong legal protections. Every business type comes with required filings, fees, and annual statements.
Sole Proprietorship
- No formal state filing required
- File a Fictitious Business Name (DBA) with the county if using a trade name
- Get local licenses and register with the CA Employment Development Department if hiring
LLC (Limited Liability Company)
- Articles of Organization (LLC-1) filed with Secretary of State ($70 fee)
- Initial Statement of Information (LLC-12) due within 90 days, then every 2 years
- Appoint a registered agent
- Get an EIN from IRS
- Pay $800 minimum franchise tax annually via Form 3522
- File annual income tax return with Form 568
Corporation (C-Corp or S-Corp)
Nonprofit Corporation
- Nonprofit Articles of Incorporation ($30)
- 3 directors required + EIN
- Apply for 501(c)(3) with IRS (Form 1023 or EZ)
- Register with CA Attorney General’s Registry of Charitable Trusts (CT-1 & RRF-1)
- Apply for state tax exemption via Form 3500/3500A
- Annual IRS Form 990 filing required
Nevada: Business-Friendly, But License-Focused
Nevada doesn’t charge income or franchise tax but has strict annual licensing rules.
Sole Proprietorship
- No state filing needed
- Optional: File trade name (DBA) with county
- Obtain local business licenses
- Register with Nevada DETR if hiring
LLC
- File Articles of Organization ($75) with SilverFlume
- Submit Initial List of Managers/Members ($150) and get Business License ($200)
- Appoint a registered agent with Nevada address
- File Annual List and renew Business License yearly ($350 total)
- No income tax, but Commerce Tax applies for gros
Corporation (C-Corp / S-Corp)
- Same as LLC: Articles + Initial List + License
- File IRS Form 2553 for S election
- No state S-Corp tax
- Annual List and license renewals required
- Commerce Tax on revenue >$4M still applies
Nonprofit Corporation
- Nonprofit Articles of Incorporation (~$30)
- Submit Initial List + Business License ($350)
- EIN + IRS 501(c)(3) approval
- File Charitable Solicitation Registration annually with the Nevada SOS
Utah: Low Fees, Clear Rules
Utah keeps things straightforward and inexpensive, making it an attractive state for many startups.
Sole Proprietorship
- No state formation filing required
- File a DBA with the county if using a trade name
- Register for withholding with Utah Tax Commission if hiring
LLC
- File Certificate of Organization with Division of Corporations ($59)
- Register a Utah-based agent
- EIN required
- File Annual Report online ($15)
- LLC income passed through to members (no corporate tax unless elected)
Corporation (C-Corp / S-Corp)
- File Articles of Incorporation (duplicate copy + $70 fee)
- Appoint registered agent
- EIN required
- C-Corps file Form TC-20: 4.85% tax, $100 minimum
- S-Corps file TC-20S for info only—owners pay pass-through taxes
- Annual Report due with $15 renewal
Nonprofit Corporation
- File Nonprofit Articles ($30)
- EIN + IRS 501(c)(3) status
- New Rule (2025): Upload IRS Form 990 with your Utah Annual Report (no separate charity filing needed)
- May apply for state tax exemption via Utah Tax Commission
